1. Agreement to Terms

By accessing or using the services provided by TAQON POWERED BY INTELLIGENCE L.L.C ("TAQON," "we," "our," or "us"), including our website, AI-powered platforms, and related products, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

TAQON provides AI-powered digital ecosystem solutions, including but not limited to:

• Enterprise Intelligence systems (CRM, ERP, HR, Finance, SCM)
• HMS (Hospital Management System with AI)
• AI-powered E-commerce solutions (WhatsApp commerce, inventory management, multi-currency payments, multilingual support)
• Integrated AI platforms
• Applied AI solutions (predictive analytics, computer vision, NLP)
• Digital twins and geospatial intelligence
• AI strategy and consulting services

3. User Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into these Terms
• If representing a business entity, have the authority to bind that entity to these Terms

4. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes
• Comply with all applicable laws and regulations of the UAE
• Not interfere with or disrupt our services or servers

5. Intellectual Property Rights

All content, software, technology, and materials provided through our services are the exclusive property of TAQON or its licensors. This includes but is not limited to:

• AI algorithms and models
• Software code and applications
• Trademarks, logos, and branding
• Documentation and training materials

You may not copy, modify, distribute, sell, or lease any part of our services without prior written consent from TAQON.

6. Prohibited Activities

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or networks
• Transmit any viruses, malware, or harmful code
• Reverse engineer or attempt to extract source code from our software
• Use our AI services to generate harmful, misleading, or unethical content
• Resell or redistribute our services without authorization

7. Service Availability

We strive to maintain high availability of our services. However, we do not guarantee uninterrupted access. Services may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical issues or system failures
• Circumstances beyond our reasonable control

8. Payment Terms

For paid services:

• Fees are as agreed in your service contract or as published on our website
• Payment terms are specified in individual service agreements
• All fees are quoted in the currency specified and are exclusive of applicable taxes unless stated otherwise
• Late payments may result in suspension of services

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of service delivery. This obligation survives termination of these Terms.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. TAQON does not warrant that:

• Services will meet all your requirements
• Services will be error-free or uninterrupted
• AI-generated outputs will be completely accurate or suitable for specific purposes

11. Limitation of Liability

To the maximum extent permitted by UAE law, TAQON shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from your use or inability to use our services

Our total liability shall not exceed the amount paid by you for the services in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless TAQON, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

Either party may terminate the service relationship:

• With written notice as specified in the service agreement
• Immediately upon material breach by the other party
• TAQON may suspend or terminate access for violation of these Terms

Upon termination, your right to use our services ceases immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
